Wyndham Program End Customer Balance Agreement

This Program End Customer Balance Agreement incorporates by reference the Program End Customer Balance Terms as amended from time to time, creates a binding and enforceable legal contract (this “Agreement”) between Balance Payments, Inc. (“Balance”) and the entity that is the end customer of the Program (as defined below) applying, qualifying, accessing or using the Services (“Company”). This Agreement governs the use of any Services, and by applying, qualifying, accessing or using the Services, by any person on Company’s behalf, Company agrees to be bound by this Agreement. You, the person agreeing to this Agreement on behalf of Company, represent that you have the power and authority to bind Company to this Agreement. This Agreement supersedes any previous or existing agreements that Company may have with Balance in connection with Balance’s facilitation of the Program.
- Interpretation.
- Capitalized terms used in this Agreement and not defined herein have the meaning given to them in the Program End Customer Balance Terms.
- Definitions
- “Program” means a program offered by Wyndham to its corporate customers to allow them to book stays at and checkout from hotel rooms or other lodging accommodations at Wyndham Franchisee properties, with deferred payment terms, via an online platform, commonly known as the Wyndham Direct program or any successor of such program;
- “Program End Customer Balance Terms” means the Balance Service Agreement available at: www.getbalance.com/legal/program-end-customer-balance-terms which the parties will also be executing on the Effective Date, including any addendums, schedules, exhibits or other governing documents for the respective services provided by Balance linked thereto which it incorporates by reference.
- “Wyndham” means WHR Operations, LLC and also includes Wyndham Hotels & Resorts, Inc. and/or any of its Affiliates. Wyndham is the Balance Merchant for the purposes of the Program End Customer Balance Terms.
- Billing and Payment. Company will be issued a Periodic Statement on a monthly basis (the “Billing Cycle”). Within 15 days of the end of each month during the Term (“Payment Terms”), Company will pay Balance all Charges, and other fees detailed in the Periodic Statement if any, by means of ACH (the “Payment Method”).
- Confidentiality. This Agreement is Balance’s confidential information. Company may not share its content, including the pricing, with any third party without Balance’s prior written permission.
- General. This Agreement may only be modified by a written document agreed to by the duly authorized signatories of parties.
