1. Eligibility

• The promotion is open only to entities and persons over 18 years of age who (i) have an active business account on Alibaba.com  and (ii) are  attending the Alibaba Co-Create Conference in Las Vegas, Nevada on September 04-05, 2025, and (iii) have not previously applied for or used the Pay Later for Business Program (“Eligible Entrant”). 

In the event that the Eligible Entrant is an entity, its designated representative, as available in records of the sweepstake sponsor, Balance Payments, Inc. (“Balance”), will be treated as the person whose name is entered for the prize draw. It is such a person’s responsibility to ensure that they are authorized to do so on behalf of the Eligible Entrant. 

• Representatives of Eligible Entrants who have successfully completed an application to Balance will automatically be entered into a draw for a chance to win one (1) gold bar or coin valued at USD $350 (as of August 25, 2025) (“Sweepstakes”).

• In addition, Eligible Entrants who have completed their first transaction using the Alibaba Pay Later for Business program within the earlier of 14 days from being approved or September 30, 2025 for the program by Balance and in accordance with the program’s terms (“Eligible Transaction”) will automatically have the discount Promotion (as defined below) applied to their first transaction. 

• To qualify, Eligible Entrants must:
  • Apply to Balance for the Alibaba ‘Pay Later for Business’ program no later than September 5th at 4:00 PM Pacific Daylight Time (“Promotion Period”), and receive approval for a purchasing credit limit.
  • Meet all other program and financing eligibility requirements determined by Balance.

• NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. To enter the Sweepstakes without applying to Balance for the ‘Pay Later for Business’ program, participants may send a letter with their name and address to 1111B S Governors Ave STE 23107 Dover, DE 19904, which is delivered to Balance by September 5th, 2025, 5:00 PM Pacific Daylight Time. Limit of one (1) entry per Eligible Entrant via this method.

• The Promotion and Sweepstakes may be cancelled by Balance at its sole discretion, without notice.

2. Financing Fee Discount

• Eligible Entrants will receive a discount equal to 100% off the financing fee on their first Eligible Transaction made using Pay Later for Business (the “Promotion”), within the earlier of 14 days of being approved by Balance for the Alibaba ‘Pay Later for Business’ program or September 30, 2025. The discount of the financing fee will be automatically applied at checkout to the first eligible order.

• Discount is applied only once, to the first Eligible Transaction, and cannot be redeemed for cash, or be carried forward for future transactions. Any Discounts applied in error (e.g., for returning users or ineligible orders) may be reversed or withdrawn.

3. Prizedraw Entry and Prize

• The winner will be selected at random. The odds of winning the Sweepstake depend on the number of eligible entries received.

• The draw will be made within 10 business days of the end date of the Promotion Period.

• A potential winner will be notified by e-mail. If a potential winner cannot be contacted within seven (7) days of notification, does not timely respond, or if prize or prize notification is returned as undeliverable, the potential winner will be disqualified and the prize will be forfeited, and an alternate potential winner will be randomly selected by Balance. In such an instance, no payment or other compensation will be made to the original potential winner. The recipient of a notification must sign and return a declaration of eligibility and a liability and publicity release within seven (7) days of acceptance or an alternate potential winner will be selected by Balance. In the event that a potential winner is disqualified for any reason, Balance may award the prize to an alternate winner by random drawing from among all remaining entries. In the event an alternate winner does not respond or is disqualified for any reason, the prize will not be awarded.

• The potential winner may be required to confirm their identity in a manner satisfactory to Balance (in its reasonable discretion). The prize will be shipped to the winner’s designated U.S. mailing address.

• Balance reserves the right to substitute the prize with an item of equal or greater value at its discretion.

4. General Conditions

• Participation in the Promotion is subject to approval by Balance and compliance with all program requirements.

• Discounts and Sweepstake entries are non-transferable and cannot be exchanged for cash or other consideration.

• Balance reserves the right to verify eligibility of participants and may disqualify any entrant found to be in violation of these Terms & Conditions.

• Balance reserves the right to modify, suspend, or terminate the Promotion or Sweepstakes at any time without prior notice, such as in the event of fraud, technical failures, or any other factor beyond its reasonable control.

• By participating, participants agree to be bound by these Terms & Conditions, Balance’s privacy policy (available at https://www.getbalance.com/legal/privacy-policy), the Balance Terms of Use (https://www.getbalance.com/legal/balance-website-terms/   and Balance’s decisions, which are final and binding. 

• Winner List: For the name of the winner, send a self-addressed, stamped envelope to: Balance, 1111B S Governors Ave STE 23107 Dover, DE 19904, Attn: “Co-Create Sweepstakes Winner List”, within 60 days of the drawing date.

5. Limitation of Liability & Dispute Resolution

• Balance is not responsible for any lost, late, incomplete, or misdirected entries or for any technical malfunctions that may affect participation.

• By accepting the prize, the winner agrees that Balance shall not be liable for any loss, injury, or damage of any kind caused by participation in the Promotion or acceptance, use, or misuse of the prize.

• To the extent permitted by law, in no event will Balance’s liability exceed $50. 

• These Terms shall be governed by and construed in accordance with the laws of the state of Delaware, without regard to the principles of conflict of law therein. You hereby consent to bring any claims, disputes, demands, actions or other similar causes of action exclusively before the  courts in Wilmington, Delaware.

6. Release: By participating in this promotion, each entrant unconditionally accepts and agrees to comply with and abide by these Terms and Conditions and the decisions of Balance, including the interpretation of these Terms and Conditions and its exercise of discretion, which will be final and binding in all respects. Entrants are solely responsible for their own actions and agree to hold harmless Balance and its respective parent, subsidiaries, divisions and related companies, together with their respective officers, directors, employees, agents, successors, assigns and licensees of each of them, and the companies supplying or delivering the prize (collectively the “Released Parties”) from any liability for losses, damages or injuries arising in connection with their participation in the promotion or the award or use of a prize.
